I had an old Geforce 4400Ti that did that once after I overclocked it too buggery. Turns out the voltage regulator had blown/popped... probably along with the memory.

But seeing as its a new card, I doubt it'll be overclocking damage Could possibly be an overheating problem.

Whats your case airflow like?

EDIT - Take a quick read of this too

Try hitting F-8 as it boots up, this will put you in "Safe" mode so it does not load any video drivers, then you can go into the control panel, select "Add remove programs" and remove the old vid drivers.

Reboot normally and install new drivers.

If you get stuck, put the old video card back in (If the screen is completely black, and nothing works) then try and and remove the old drivers.

I made the same mistake once..

It sounds like either you've got a crappy PSU that is screwing everything up, or your card is bad. You may have to RMA the video card.

The 6800GT and Ultra suck alot more power than a 6600GT, NVIDA lists a 480 wat power supply as the minumum for the Ultra!

Quote:
NVIDIA indicated (in the reviewers guide with which we were supplied) that we should use a 480W power supply in conjunction with the 6800 Ultra.

The GT will require less power, but nothing under true 400-450 watts from a high quality power supply will be very reliable over time, would be my best guess.
