I've done that upgrade a couple of times. The first time there was no problem, but the second time required the repair install.
I think I've done repair installs about 3 or 4 times over the last couple of years - mostly without any major problems - the worst was when I last upgraded my
HD and the data transfer died half way through - that really messed things up.
Otherwise, it's just been major hardware changes - usually when going from one platform to another that required the repair install. eg Via to Nforce and then Athlon xp - A64.
No major issues except for having to re-patch everything - that can be a real pain. Basically, boot from your XP cd, go to Install, then tell it to do a repair install and it will keep all your data and files and usually most programs (something small always seems to dissappear on me

)
I haven't tried this since SP2 though so I'm not sure how that might affect things.
